Terms of Service

These Terms of Service ("Terms") are a binding agreement between Clane AI Ltd ("Clane", "we", "us") and you or the entity you represent ("you") governing your access to and use of the Clane website and service (the "Service"). By accessing or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility & accounts
You must be at least 16 and able to form a binding contract. You are responsible for your account, for keeping credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.
2. The Service & early access
Clane lets you describe work in plain language; a governed set of AI agents builds a workflow, runs it under your approval, and returns the result. During early access the Service is provided on a pre-release basis and may change, be limited, or be unavailable as we onboard teams in batches.
3. Your responsibilities
- Use the Service lawfully and only for legitimate business purposes.
- Review approvals before authorising any irreversible action; you are responsible for the work you direct Clane to perform.
- Ensure you have the rights and permissions for any data, accounts, or third-party tools you connect.
- Comply with the terms of any third-party services you connect through Clane.
4. Acceptable use
You agree not to: break, overload, probe, or reverse-engineer the Service; use it to violate law or third-party rights; generate or distribute unlawful, harmful, or infringing content; circumvent security or access controls; or resell the Service without authorisation.
5. Customer Data & ownership
As between the parties, you own your Customer Data and the outputs Clane produces for you. You grant us a limited licence to process Customer Data solely to provide, secure, and improve the Service, as described in the Privacy Policy. We do not use your Customer Data to train shared models.
6. Intellectual property
Clane, including its software, models orchestration, designs, and trademarks, is owned by Clane AI Ltd and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.
7. Third-party services
The Service integrates with third-party tools you choose to connect. Your use of those tools is governed by their terms; we are not responsible for third-party services and your connections are at your own discretion.
8. Fees
Early-access use may be provided free or under a separate order. Paid plans, when available, are billed per the pricing then in effect or your order form. Taxes are your responsibility unless stated otherwise.
9. Warranties & disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate; you are responsible for reviewing outputs before relying on them.
10. Limitation of liability
To the maximum extent permitted by law, Clane AI Ltd will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability arising out of or relating to the Service is limited to the amounts you paid us in the 12 months preceding the claim (or, during free early access, EUR 100).
11. Indemnification
You will defend and indemnify Clane AI Ltd against claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.
12. Suspension & termination
You may stop using the Service at any time. We may suspend or terminate access for breach, security risk, or as needed to operate the Service. On termination, your right to use the Service ends; sections that by their nature should survive (ownership, disclaimers, liability, indemnity) survive.
13. Changes
We may update these Terms; material changes will be notified and the "last updated" date revised. Continued use after changes means you accept them.
14. Governing law
These Terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, unless your order form states otherwise. (Confirm jurisdiction with counsel.)
